这里的with his friends显然不是Tom本身的某一特征，它只是在说明Tom在看比赛一个背景情况而已。所以是状语无疑。不知我说明白没有。祝进步！
补充一点：状语的位置比较活一点，把那个放到句尾，不影响意思的表达。但定语就不同了。The girl with big eyes is his sister. the girl is his sister with big eyes就不通了不是吗？
